Run the Compensation Math First

  • What's the post-termination exercise window? Standard is 90 days. Some companies now offer 5–10 year windows. This matters enormously if the company takes years to exit and you leave before then.
  • What does the engineering team actually look like? One brilliant engineer moving fast is very different from a team building defensible systems. Know which you're joining.
  • What's the founder's track record? First-time founders have high failure rates — not disqualifying, but worth factoring. Domain expertise matters more than serial founding status.

Who Should Actually Make This Move

The math works best when you've already vested the majority of your current grant and the opportunity cost is genuinely lower. Series A or later companies with clear product-market fit and a recently closed round carry dramatically lower risk than pre-revenue seed companies.

It also helps if you have 6–12 months of personal runway. A startup offer with no savings cushion is a high-stakes bet — and not the good kind. On the career side, you're a strong candidate for the move if you've been scope-capped at big tech for 2+ years and the startup role offers genuine ownership, not just a smaller company with the same title.

The move makes less sense if you're early in your first FAANG role and still absorbing the engineering culture, or if you're accepting a 40%+ comp cut with genuinely uncertain equity.
